RESOLUTION NO. 2011-031 <br />RESOLUTION OF THE SOUTHERN CALIFORNIA PUBLIC <br />POWER AUTHORITY AUTHORIZING THE EXECUTIVE <br />DIRECTOR TO EXTEND THE AGREEMENTS FOR <br />PROFESSIONAL LEGAL SERVICES WITH FULBRIGHT & <br />JAWORSKI LLP FOR BOND COUNSEL AND TAX <br />COUNSEL SERVICES RELATING TO SOUTHERN <br />CALIFORNIA PUBLIC POWER AUTHORITY PROJECTS <br />AND LEGAL MATTERS <br />WHEREAS, The Southern California Public Power Authority (SCPPA) was <br />created pursuant to the California Joint Exercise of Powers Act (The Act), for the <br />purpose of jointly and cooperatively undertaking the financing, development, acquisition, <br />construction, and operation of projects for the generation or transmission of electric <br />energy, including the production, gathering, and/or delivery of fuel; and <br />WHEREAS, pursuant to the Act, SCPPA possesses the power to own <br />interests in facilities for the purpose of promoting electric generation and transmission <br />and to finance these interests through the issuance of bonds or other forms of debt for <br />the benefit of those projects and participants served by those facilities. Under the Act <br />the Authority also has the power to plan, finance, develop, acquire, design, construct, <br />own and operate projects involving the generation and transmission of electric energy <br />and the production, gathering, and delivery of fuel, and to cause such projects to be <br />planned, developed, financed, acquired, designed, constructed, operated, maintained <br />and repaired, and to provide by agreement for the performance and carrying out of such <br />activities, including agreements and instruments associated with financing of such <br />matters; and <br />WHEREAS, SCPPA has need from time to time for Bond Counsel and <br />Tax Counsel services in connection with legal matters involving SCPPA bonds, notes, <br />certificates of participation or other forms of debt or other methods for financing of <br />SCPPA projects and interests; and <br />WHEREAS, Fulbright & Jaworski, LLP is a firm which has previously <br />carried forth bond counsel and tax counsel work for SCPPA in connection with a <br />substantial number of SCPPA projects and project finance activities; and <br />WHEREAS, Fulbright & Jaworski, LLP has regularly advised the Finance <br />Committee in SCPPA financing matters and has assisted SCPPA to carry out a number <br />of significant financing related measures addressing matters which have arisen recently <br />with respect to a number of newly created SCPPA projects and financing issues which <br />have occurred because of the emergence of these projects; and <br />WHEREAS, SCPPA has issued Requests for Proposals for Bond <br />Counsel, Co -Bond Counsel and/or Tax Counsel and this RFP process is currently <br />underway.
