[Project Vote] <br />RESOLUTION NO. 2013-093 <br />RESOLUTION RELATING TO THE PINEDALE NATURAL GAS <br />PROJECT: (I) AUTHORIZING THE NEGOTIATION, EXECUTION AND <br />DELIVERY OF A NEW GAS GATHERING AGREEMENT TO <br />REPLACE THE CURRENT EXPIRING GAS GATHERING <br />AGREEMENTS; AND (II) AUTHORIZING CERTAIN RELATED <br />ACTIONS; AND (III) AUTHORIZING THE OFFICERS OF THE <br />AUTHORITY TO DO ALL OTHER THINGS DEEMED NECESSARY OR <br />ADVISABLE <br />WHEREAS, the Southern California Public Power Authority (the "Authority") and <br />certain of its members have investigated the acquisition and development of certain natural gas <br />resources, reserves, fields, wells and related facilities as part of a natural gas acquisition project <br />(the "Project") in order to provide a long-term supply of natural gas to such members for the <br />purpose of fueling electrical generation needs of such members; <br />WHEREAS, the Cities of Anaheim, Burbank and Colton (the "Project A Participants") <br />have financed through the Authority their respective shares of the capital costs of the Project; <br />WHEREAS, the Cities of Glendale and Pasadena (the "Project B Participants,") have <br />contributed capital to the Authority to pay their respective shares of the Authority's capital costs <br />of the Project; <br />WHEREAS, the City of Los Angeles acting by and through the Department of Water and <br />Power (the "Project C Participant") has procured its respective share of the natural gas <br />acquisitions through the resources of the Authority in conjunction with the similarly situated <br />acquisitions of the Project A Participants and the Project B Participants; <br />WHEREAS, the Turlock Irrigation District (the "TID") has participated with the <br />Authority and the Project A, B and C Participants in the investigation, research, analysis and <br />evaluation of the potential acquisitions associated with the Project and has independently <br />participated in acquisitions which have been carried out by the Project A, Project B and Project <br />C Participants; <br />WHEREAS, the Authority has previously entered into Gas Sales Agreements with the <br />Project A Participants and the Project B Participants and has entered into a Gas Acquisition and <br />Operating Agency Agreement with the Project C Participant. (collectively, the "Gas Sales <br />Agreements" and the "Gas Acquisition and Operating Agency Agreement") in accordance with <br />the respective interests of each Participant in the Project; <br />
