RESOLUTION NO. 2013-091 <br />RESOLUTION OF THE SOUTHERN CALIFORNIA PUBLIC <br />POWER AUTHORITY AUTHORIZING THE EXECUTIVE <br />DIRECTOR TO EXECUTE AMENDMENT NO. 1 TO THE <br />PROFESSIONAL SERVICES AGREEMENT WITH <br />TRAVERSA CONSULTING LLC, AND PROVIDING FOR <br />ADDITIONAL CONTRIBUTIONS TO THE AUTHORITY'S <br />REVOLVING GENERAL FUND, AND TAKING CERTAIN <br />RELATED ACTION (RESTRUCTURING) <br />WHEREAS, pursuant to Resolution No. 2012-107, the Board of Directors of <br />the Southern California Public Power Authority ("SCPPA" or "the Authority") approved a <br />Professional Services Agreement ("Agreement") with Traversa Consulting LLC <br />("Consultant") pursuant to which Consultant conducted studies and developed a strategic <br />plan ("the Strategic Plan") to enable SCPPA to better serve the needs of its Members; and <br />WHEREAS, the services contemplated in the Agreement (hereinafter "Phase <br />I") have been completed to SCPPA's satisfaction within the amount originally budgeted <br />therefor; and <br />WHEREAS, the Executive Committee has recommended that SCPPA to <br />utilize the services of Consultant to move forward with implementation of the Strategic Plan <br />("Phase II"); and <br />WHEREAS, the Authority is willing and able to retain Consultant to provide <br />such additional services contemplated to be performed by in Phase II and (i) pay for such <br />additional services as a general expense when rendered for the benefit of SCPPA or (ii) bill <br />the cost and expense of such services to the Members when rendered for the benefit of and <br />at the request of such Members; and <br />WHEREAS, the Board of Directors of Authority, in its Resolution No. 1990-15, <br />established a revolving general fund (the General Fund) for the payment of costs and <br />expenses incurred by the Authority from time to time in carrying out its purposes; and <br />WHEREAS, the Board of Directors of the Authority, in its Resolution <br />No. 1992-1, provided for the continuation of the General Fund and established a procedure <br />to be followed with respect to additional contributions to the General Fund; and <br />WHEREAS, the Board of Directors of the Authority, in its Resolution <br />No. 1995-2, provided for a separate bank account (the Joint Planning Account) to hold and <br />disburse the additional contributions to the General Fund with respect to joint planning <br />matters; and <br />WHEREAS, the Board of Directors of the Authority, in its Resolution No. <br />1995-13, changed the name of the Joint Planning Account to the Restructuring Account; <br />and <br />
