RESOLUTION NO. 2013-087 <br />RESOLUTION OF THE SOUTHERN CALIFORNIA PUBLIC POWER <br />AUTHORITY ("SCPPA" OR "THE AUTHORITY"): (1) APPROVING <br />THE CREATION OF THE SUPPLEMENTAL RULES FOR THE <br />PROCUREMENT OF SERVICES AND MATERIALS FOR THE CANYON <br />POWER PROJECT; (2) MAKING APPOINTMENTS TO THE PROJECT <br />MANAGEMENT COMMITTEE FOR THE CANYON POWER PROJECT; <br />AND (3) AUTHORIZING THE OFFICERS OF THE AUTHORITY TO DO <br />ALL OTHER THINGS DEEMED NECESSARY OR ADVISABLE <br />WHEREAS, SCPPA was created in 1980 pursuant to provisions contained in the <br />Joint Exercise of Powers Act found in Chapter 5 of Division 7 of Title 1 of the Government <br />Code of California, as amended from time to time (the "Act"), by its members, which are <br />municipalities and an irrigation district that supply, among other things, electrical energy, in the <br />State of California, for the purpose of jointly and cooperatively undertaking the planning, <br />financing, contracting for, development, acquisition, construction, improvement, betterment, <br />operation, and maintenance, of projects for the generation or transmission of electric energy, <br />including programs for the acquisition and delivery of secure, long term reliable supplies of <br />renewable electric energy, and also including those programs for SCPPA procurement actions <br />necessary to these projects; and <br />WHEREAS, by way of Resolution 1992-16 the Board of Directors previously <br />approved a SCPPA Procurement Code and by way of the same resolution designated the <br />Executive Director of the Southern California Public Power Authority as the Purchasing <br />Manager for the Authority; and <br />WHEREAS, Section 18 of the Procurement Code provides that any Project may <br />be excepted from the SCPPA Procurement Code through the appropriate vote by the Board; and <br />WHEREAS, the Canyon Power Project is a SCPPA Project; and <br />WHEREAS, the Authority has entered into an Agency Agreement with the City <br />of Anaheim ("Anaheim") for Anaheim to serve as the project manager and operator of the <br />Canyon Power Project on behalf of the Authority; and <br />WHEREAS, in order to enable Anaheim to perform its duties with respect to the <br />Agency Agreement and other project agreements in an efficient and timely manner, the <br />Authority deems it to be in the best interest of the Authority to adopt modifications or <br />supplements to the SCPPA Procurement Code with respect to procurement for the Canyon <br />Power Project; and <br />WHEREAS, the Authority has entered into a Power Sales Agreement with <br />Anaheim whereby the Power Sales Agreements provides for the appointment of a Project <br />Management Committee by the Board to provide liaison between the Board, Authority staff and <br />Anaheim and to resolve issue that may arise in connection with the Canyon Power Project; and <br />WHEREAS, Anaheim has requested that the Authority appoint the Assistant <br />General Manager of electric services, Assistant General Manager of joint services, and Assistant <br />
